Terms of Service Agreement for Misskey AI
Effective Date: February 2024
Welcome to Misskey AI, a software product developed and maintained by Misskey AI, Inc. ("we", "us", or "our"). By accessing or using Misskey AI ("Misskey AI"), you ("User" or "you") agree to be bound by these Terms of Service ("Agreement"). If you do not agree to the terms within this Agreement, please do not use or access the Software.
1. Use of Software
Misskey AI is provided to you under a limited, non-exclusive, non-transferable, and revocable license for personal, commercial, or educational use, subject to the terms of this Agreement.
2. User Accounts
To access certain features of the Software, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your account.
3. User Conduct
You agree not to use the Software in a manner that:
- Violates any local, state, national, or international law or regulation.
- Infringes on the rights of others, including but not limited to intellectual property rights.
- Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable. ## 4. Intellectual Property All rights, title, and interest in and to the Software (excluding content provided by users) are and will remain the exclusive property of Misskey AI Software, Inc. and its licensors.
5. Termination
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
6. Disclaimer of Warranties
The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
In no event shall Misskey AI, Software Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Software; (ii) any conduct or content of any third party on the Software; (iii) any content obtained from the Software; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
8. Indemnification
You agree to defend, indemnify and hold harmless Misskey AI Software, Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Software, by you or any person using your account and password, or b) a breach of these Terms.
9. Modifications
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
